Job Description

Roles & Responsibilities

Prepare, review and manage corporate legal documentation including Shareholders Agreements, Joint Venture Agreements, Intercompany Agreements, constitutional documents, Powers of Attorney, and Board/AGM resolutions and minutes. Maintain corporate registers, statutory records, legal entity structures and ensure timely renewals and regulatory filings. Ensure compliance with UAE laws and applicable international jurisdictions, including UBO, AML/KYC, Free Zone and other governmental authority requirements. Draft, review, negotiate and standardize commercial contracts and templates including EPC, service, agency, distribution, IP, MSA, NDA and related agreements. Review and qualify tenders, bids and contractual submissions to identify and mitigate legal and commercial risks. Establish and implement company-wide compliance frameworks, internal controls, governance policies and due diligence procedures. Provide strategic legal advisory support to management on corporate, commercial and regulatory matters to mitigate risk and prevent disputes. Monitor legal and regulatory developments in the UAE, UK and other operating jurisdictions and advise the business on necessary actions.

Lead and manage all litigation and dispute resolution matters before UAE courts and arbitration forums, including coordination with external counsel.

Develop litigation strategies, conduct risk and exposure assessments, and provide management with financial and reputational impact analysis.

Oversee enforcement actions including execution proceedings, asset recovery and precautionary measures. Liaise with regulatory authorities, government bodies and external legal advisors, while managing legal budgets efficiently.

Maintain structured reporting on litigation status, compliance matters and legal risk exposure to senior management.

Desired Candidate Profile

5 years+ post qualification experience in a similar role (corporate law) preferably within a law firm/in house legal position within UAE Demonstrated litigation experience before UAE Courts and/or arbitration forums. Strong working knowledge of:

  • UAE Civil Procedures Law

  • Commercial Transactions Law

  • Labour Law

  • Arbitration Law

  • Corporate Governance regulations Environmental services, waste management, Oil and Gas or similar industry experience is required.

  • Knowledge of UK, and GCC operating jurisdiction laws (main land/free zones).

  • First class legal drafting skills, attention to detail and accuracy is mandatory.

  • Must have a mature, positive and pro-active approach to work with the ability to manage sensitive matters accordingly.

  • Problem solving skills; ability to provide commercially sensible and pragmatic solutions for the business. Microsoft Package skills are required

  • Strong English drafting skills; Arabic will be an advantage.
