Job Description

Roles & Responsibilities

Lead the review, drafting, and negotiation of commercial agreements including customer agreements, supplier/vendor contracts, partnership agreements, NDAs, and service agreements.

Ensure contractual terms appropriately allocate risk and protect company interests.

Identify and mitigate legal, financial, and regulatory risks within contractual frameworks.

Develop and standardize contract templates and approval matrices.

Provide legal advisory support to Sales, Operations, Finance, and Management.

Oversee contract amendments, renewals, and dispute-related correspondence.

Ensure compliance with applicable UAE laws and relevant international regulatory frameworks affecting e-commerce, fintech, digital payments, and cross-border transactions.

Develop, implement, and monitor internal compliance policies and procedures.

Maintain a structured compliance monitoring framework.

Prepare compliance reports for senior management.

Act as point of contact for regulatory inquiries, audits, and inspections.

Oversee and manage KYC/AML processes for customers, suppliers, and financial institutions.

Review and approve KYC documentation prior to submission to banks and counterparties.

Conduct risk-based due diligence and sanctions screening.

Ensure adherence to UAE AML regulations and international best practices.

Maintain audit-ready AML/KYC documentation and risk assessments.

Establish and maintain a structured contract lifecycle management system.

Conduct periodic reviews of active agreements to ensure regulatory compliance and commercial alignment.

Develop internal controls around contract approval authority.

Monitor key contractual obligations and exposure limits.

Coordinate with external legal counsel on disputes and litigation matters.

Assess legal exposure and recommend strategic actions.

Manage documentation, evidence collation, and reporting for ongoing cases.

Support pre-litigation negotiation and settlement discussions.

Conduct internal training sessions on contractual risk awareness, AML/KYC obligations, and regulatory compliance.

Collaborate with Sales, Operations, and Finance to ensure commercial objectives align with compliance standards.

Promote a culture of proactive risk identification and regulatory adherence.

Skills & Competencies:

Strong expertise in commercial contract law and regulatory compliance.

Advanced legal drafting and negotiation capability.

Sound understanding of UAE regulatory frameworks and cross-border transactions.

Risk-oriented mindset with strong analytical capabilities.

High attention to detail and strong documentation discipline.

Ability to operate independently with minimal supervision.

Strong stakeholder management and communication skills.

Desired Candidate Profile

We are seeking an experienced >Compliance Officer/> with a strong legal background to lead contractual compliance, regulatory adherence, and KYC/AML governance across our global e-commerce operations.

This role will take primary responsibility for reviewing, negotiating, and approving agreements with both suppliers and customers, ensuring alignment with regulatory requirements, risk management standards, and company policies. The position also oversees AML/KYC processes and supports dispute resolution and litigation management.

This is a control-function role with direct impact on legal risk exposure and regulatory positioning.
