Roles & Responsibilities

Position Purpose
The Contracts Manager (CM) will be responsible for drafting, negotiating, structuring,
interpreting, executing, and/or administering project contractual documents from inception
during Development stage through completion in Delivery, including the defects period and
the Operation and Maintenance stage.
Responsibilities
The responsibilities include, but are not limited to the following:
• Review, draft and negotiate contract agreements (EPC, O&M, OE, IE, MSA, LTSA, etc.),
consulting agreements, special licensing, non-disclosure agreements.
• Drive contract lifecycle from drafting through completion of the negotiation process, and/or
contract execution.
• Manage contract change control process and related correspondence requiring legal
input.
• Support the Development team to drafts, manages, distributes, responds to, or analyzes
RFIs, RFPs, RFQs or customer terms & conditions as needed.
• Support the Development team to draft and negotiate Power Purchase Agreements
(PPAs) and Common Terms Agreements (CTAs).
• Maintain a deep understanding of contract templates, contracts policy, legal risk and
liability, and company position on various matters.
• Prepare contracts/agreements for internal review and approval and ensures compliance
with company policies as well as applicable laws or regulations.
• Interpret contracts and advises project managers on contractual responsibilities.
• Translate complex commercial/legal scenarios into simple language and action plans.
• May mentor and train less experienced contract professionals or colleagues.
• May assume project management responsibilities depending on the department workload
and/or projects pipeline.
• Highlight any potential problems in the projects under construction and proposing
solutions to the project manager/construction team as well as the design team, if required.
• Cooperate in the production of progress reports as required.
• Advise and guide the project managers/site managers which work on projects.

Experience
Requirements
• Have a proven track record of minimum 10 years’ experience as a
contracts manager or as a manager within the construction
industry especially working with renewable energy Independent
Power Producers (IPP).
• Understand all aspects of the contracting process and contract
law, particularly FIDIC contracts.
• Experience working in projects financed by international lenders,
especially IFC.
• Will be commercially minded and adept at managing site
managers and contractors/subcontractors.
Minimum Education
Requirements
• Will have appropriate higher education qualifications in
engineering, construction management or engineering
management.
• Bachelor degree in Civil, Electrical, Mechanical Engineer or
similar will be a plus.
• Master degree in Renewable Energy or similar will be a plus.
• English speaking is a must. Knowledge of French and other
languages will be a plus.
• Responsible for agreeing extra works and helping to resolve any disputes which may
arise by continual monitoring contractors, subcontractors or/and suppliers, as required.
• Carry out project reviews at the end of each project, with project/site managers and
contracts/construction director, including performance reviews of contractors,
subcontractors and suppliers, if required.
