Job Description
Roles & Responsibilities
The Corporate Lawyer will support the Legal function by providing high-quality corporate legal
assistance across the group. The role involves managing a broad range of legal matters including
corporate governance, transaction support, and contract lifecycle management. The Corporate
Lawyer will work closely with internal stakeholders and external counsel to ensure legal
documentation, processes, and governance frameworks are accurate, efficient, and aligned with
best practice in a large corporate environment.
Responsibilities
Corporate & Company Secretarial Support
Draft and manage board resolutions, shareholder resolutions, powers of attorney,
meeting agendas, minutes, and committee papers
Coordinate board, committee, and shareholder meetings, including circulation of
materials and follow-up actions
Support entity formation, legal restructuring and liquidations, including entity
rationalisation, governance alignment, and implementation sequencing
Liaise with corporate service providers as required
Contract & Document Management
Support the full contract lifecycle management process, from drafting through signing,
filing, and renewal
Draft, review and settle intra-group funding arrangements, with limited engagement in
maintaining a structured tracking and monitoring framework
Draft, review and settle corporate governance, structuring and inter-company
documentation, required to support a group comprising multiple legal entities and a
significant number of inter-company transactions annually
Draft, review, and negotiate standard and low-risk legal documents including:
o Non-Disclosure Agreements (NDAs)
o Consultancy and services agreements
o Memoranda of Understanding (MOUs)
o Joint Development Agreements (JDAs)

Experience
Requirements
5-8 years of relevant corporate legal experience (or equivalent
experience outside the UK)
Experience within a corporate department in a law firm or large
corporate, multinational, private equity infrastructure and/or the
energy sector preferred
Strong organizational and administrative skills
High level of confidentiality and professional integrity
Ability to manage multiple priorities in a fast-paced environment
Proactive, solution-oriented mindset
Strong stakeholder management and communication skills
Minimum Education
Requirements
Law degree or equivalent legal qualification
Bachelor’s degree.
Admission in the UK or equivalent jurisdiction and current practising
certificate
Related/Technical
Skills
Proven experience in Legal document drafting and review.
Analytical and detail-oriented, with a strong focus on document
accuracy.
Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint)
Time management and prioritization
