Roles & Responsibilities
Job Purpose / Summary
The Corporate Legal Advisor provides expert legal counsel and support to the company’s management and business units on all legal matters related to investments, corporate governance, contracts, compliance, and regulatory affairs. The role ensures that the company’s operations and investments are compliant with UAE laws, international regulations, and internal corporate policies. The advisor also mitigates legal risks, drafts and reviews contracts, and represents the company in negotiations and legal proceedings.
Key Responsibilities
1. Legal Advisory & Compliance: Advise management on UAE laws, investment regulations, and corporate governance practices. Ensure compliance with MOE, SCA, DIFC, and other regulatory bodies.
2. Contract Management: Draft, review, and negotiate investment, joint venture, and service agreements.
3. Investment & Transaction Support: Conduct legal due diligence, review term sheets, SPAs, and coordinate with external counsel.
4. Risk Mitigation & Dispute Resolution: Identify legal risks, support in arbitration or litigation, and manage external counsel.
5. Corporate Governance: Ensure compliance with governance frameworks, board resolutions, and entity formation or liquidation.
6. Policy & Documentation: Develop and implement legal policies, templates, and manuals.
7. Advisory Role: Support senior management with legal and investment decisions.
Desired Candidate Profile
Qualifications & Experience
Education: LLB (required), Master’s in Business or Corporate Law (preferred). Certifications: Licensed legal practitioner in UAE or other recognized jurisdiction; Certification in Corporate Governance or Compliance. Experience: 8–12 years in corporate legal practice, preferably in investment or finance sectors, with M&A and joint venture experience.
