Roles & Responsibilities

Functional Strategy and Guidelines

  • Ensure thatlegal strategy, documentation and corporate governance are in alignment with the Group s strategy and guidelines.
  • Review and interpret local and international laws and regulations impacting business and operations to ensure full compliance across the organization.
  • Lead the successful implementation of the legal functional policies, systems, processes, procedures in line with the guidelines established and the business unit. Ensure all relevant procedural/ legislative requirements are fulfilled while delivering a quality, cost-effective service in a consistent manner.
  • Provide legal support and advice business operations, transactions, projects, deals, ensuring the provision of expertise, relevant documentation, and protection of the legal interests.
  • Stay updated on relevant legal developments, local and international laws and regulations, industry trends, and best practices to enhance the regulatory framework. Identify opportunities for continuous improvement of policies, processes, and procedures to improve business operations, reduce costs and improve productivity.
  • Advice the CEO on strategic matters and projects, as requested.

Contracts and Documentation

  • Oversee preparation and negotiations of material contracts (other than for M&A) to be entered into by OpCo;
  • Lead contract preparation and negotiations of contracts to be entered into by the business line.
  • Ensure the accuracy and compliance to HQ framework, regulations and legal requirements in the foregoing. Address any issues, disputes, or risks arising during document development to safeguard best interests.
  • Provide guidance to the business unit functional heads on key business contract interpretation and enforceability to ensure that relevant contract clauses comply with corporate laws, local and international standards.

Governance

  • Provide sound legal advice and recommendations to assist the Senior Management on important legal matters to safeguard and protect the legal interests.
  • Advise on corporate governance matters, including board governance, shareholder rights, disclosure requirements and materials for approvals under Delegation of Authority. Establish and maintain governance enablers and a corporate governance framework to enhance clarity and accountability for roles and responsibilities in alignment with ethical standards.
  • Ensure compliance with governance policies issued by HQ.
  • Attend meetings to provide legal advice when required and support the business in taking related decisions.

Desired Candidate Profile

The candidate will be responsible for offering legal advice, supporting in legal M&A activities and contract negotiation, and overseeing disputes and litigations for the business unit, while adhering to all laws, regulations, legal framework and the applicable HQ policies and procedures.
