Job Description

To provide policy advice and research for a wide range of governance matters relating to Nawah business.

To assist the deputy general counsel with all secretarial and administrative functions to ensure compliance with established legal requirements, internal policies, processes, and procedures within Nawah, and best practices internationally.

Secretarial and Administrative Support

• Assist in the preparation of all relevant governance documents to be used at committee meetings.

• Provide research on an ad hoc basis.

• Draft correspondence and emails on behalf of the DGC.

• Attend all Board of Director (BOD) and sub-committee meetings and prepare minutes based upon established governance documents.

• Perform all required secretarial and administrative functions at the request of the DGC.

• Liaise with internal stakeholders for preparation of and submission of all relevant documents

Advisory and Legal Support

• Prepare and render legal opinions, draft legal recommendations, develop divisional policies and procedures, and draft and review legal memorandum in relation to corporate governance activities.

• Provide support, advice, recommendations, and transactional legal support to the DGC.

Corporate Governance

• Provide feedback to DGC regarding Nawah legal compliance and any internal and external identified risk.

• Recommend mitigating actions, advise on relevant regulations and respond to existing legal requirements to ensure that Nawah corporate governance remain aligned to global best practices.

• Assist the DGC and BOD with corporate governance issues, including but not limited to BOD mailings and minutes.


• Supervise work and lead projects as required.

• Identify gaps in knowledge and capabilities of corporate governance staff and advise on appropriate strategies to fill in gaps in knowledge and experience.

• Ensure the growth and professional development of corporate governance staff.

People Management

• Manage the effective achievement of the Organization’s objectives by setting individual targets, developing and motivating staff, and providing formal and informal constructive feedback and appraisal – in order to maximize subordinate and department performance.

• Contribute to the development of UAE National employees in a manner which supports the objectives of the corporation and its Emiratization strategy.

• Contribute to knowledge dissemination/sharing in a way that assists with building internal capabilities of UAE Nationals where applicable and maximize their effective performance.

• Ensure compliance with corporate requirements for adherence to policies, procedures and instructions related to Crisis Management and Business Continuity in order to continue mission-critical activities.



• Law degree (Juris Doctorate or equivalent) from a major law school.

• Admitted as an attorney in the US, UK, Canada, UAE or similar jurisdiction.

• 6 years of relevant legal experience in a corporate governance setting .

• Knowledge of commercial company law and resolutions.

• Extensive experience working closely with senior management.
