• Developing and leading corporate legal strategy to promote and protect the company's matters
• Give accurate and timely advice to CEO and Senior Management in a variety of legal topics related to Corporate Finance, Banking Transactions, Commercial Company Law, Labor law, Partnerships, International ventures etc.
• Collaborate with management to devise efficient defense strategies
• Manage and coordinate the Company s approach towards litigation and other proceedings to which the Company is a party or a potential party and conclude such matters in favour of the company.
• Maintain strong links with external law firms. Assist with the selection of appropriate external legal consultant for work that is to be outsourced.
• Provide external legal consultants with clear and explicit instructions. Oversee and review work carried out by external legal consultant.
• Develop, lead and regularly monitor internal governance and corporate compliance policies
• Research and evaluate different risk factors regarding business decisions and operations
• Apply effective risk management techniques and offer proactive advice on possible legal issues
• Communicate and maintain proper corporate interaction with external parties (relevant local and federal government bodies, regulators, external counsel, public authority etc.), creating relations of trust
• Draft in English and Arabic, negotiate and solidify agreements, contracts, MoU, MoA, RFP’s, NDA’s, JV’s, consortiums, legal notices, extension letters, contract amendments, settlement agreements, PoA’s and other legal documents, review financial, loan documentation and labour related contracts to minimize risk and ensure the company’s full legal rights are protected and the best commercial and legal positions are maintained.
• Deal with complex matters with multiple stakeholders and forces
• Provide clarification on legal language or specifications to executives and department heads in the organization
• Revise internal company documentation and ensure its conformity to the applicable law
• Conduct the work with integrity and responsibility
• Maintain current knowledge of alterations in legislation

Desired Candidate Profile

The successful candidate should be
- Minimum 10+PQE
- Minimum Bachelor of Laws (LLB) (Law)
- Well versed in the UAE Laws as well as English Laws
- Trained at an international law firm
- Have corporate M&A experience
- Have international projects experience
- Fully bilingual in English & Arabic
- Ideally have a mix of in-house and private practice experience
