Head of Legal and Board Secretary Sundus Consultancy

Role Overview

We are seeking an accomplished legal leader with extensive insurance sector expertise to head

our Legal function and serve as Board Secretary. This critical position ensures the organization

operates within a robust legal, regulatory, and governance framework while supporting the

strategic ambitions of the business. The role requires deep knowledge of UAE insurance law,

corporate governance, and regulatory compliance, with the ability to advise at the highest levels

of the organization.

Key Responsibilities

I. Legal Leadership & Advisory (Insurance Sector Focus)

• Provide strategic legal counsel to the CEO, Board, and Executive Team on corporate,

commercial, and regulatory matters.

• Lead and develop the Legal Department, managing in-house counsel, advisors, and

external legal partners with measurable KPIs.

• Interpret, apply, and implement UAE insurance laws and regulations (Central Bank, SCA,

Company Law, etc.).

• Draft, review, and negotiate high-value contracts, including reinsurance treaties,

bancassurance agreements, TPAs, distribution agreements, and IT/vendor contracts.

• Manage litigation, arbitration, and dispute resolution across claims, underwriting, HR,

compliance, and shareholder matters.

• Conduct legal risk assessments for major corporate initiatives, including product launches,

system integrations, and cross-border operations.

II. Regulatory Compliance & Licensing

• Ensure compliance with all applicable UAE and international regulatory frameworks

(CBUAE, ESR, AML/CFT, GDPR, FATCA/CRS)
