Roles & Responsibilities

Role Responsibilities
As a Sales Purchase Agreement Senior Associate, you ll work as part of a team of problem solvers, helping to solve complex business issues from strategy to execution. Responsibilities include but are not limited to:

  • SPA Review: Analyze SPAs from a financial and accounting perspective, providing written comments and participating in discussions with clients and their legal advisors.

  • Value Analysis: Offer analytical support to clients and their advisors to evaluate the value implications of purchase price adjustments and advocate for positions in negotiations.

  • Transaction Execution: Support the drafting and negotiation of key financial aspects of the SPA, ensuring purchase price mechanisms are well-structured, due diligence findings are integrated, and warranties/indemnities adequately protect the client.

  • Post-Transaction Support: Assist with completion accounts preparation or review, earn-out mechanisms, and resolving disputes related to purchase price adjustments.

  • Enterprise to Equity Bridge Adjustments: Propose adjustments between Enterprise Value and Equity Value bridges, leveraging due diligence findings, and present robust arguments to justify proposed approaches.

  • Stakeholder Collaboration: Work closely with legal advisors to align financial aspects of the SPA with client goals, ensuring a balanced approach in drafting and negotiating terms.

  • Transition Agreement Review: Analyze transition agreements to safeguard clients from value leakage by the vendor.

  • Completion Account Review: Validate potential value leakages and ensure compliance with SPA terms.

Desired Candidate Profile

A Bachelor s degree in Accounting or Finance preferably from a reputable/ international university;

  • Minimum of 3 years experience in Financial Due Diligence, Financial Analysis, or Financial Audit with relevant experience in transaction services related domain or a multinational organization;
  • Understanding of M&A processes, including deal timelines and pricing mechanisms is preferrable;
  • CPA, ACCA, Chartered Accountant, or equivalent certification is preferrable
  • Excellent communication, writing, and presentation skills for diverse audiences
