Responsible for :

Handling all administrative duties related to the meetings and documentation of Azizi Bank Board of Supervisors (BoS) and Board of Management (BoM).

Job Purpose

To ensure that

a.The Bank’s BoS and BoM meetings are organized with due diligence.
b.The Bank’s official and internal documentation is handled in accordance with the Corporate Governance and Compliance standards.
c.The BoS and BoM Members are well informed on all Communication on Corporate Governance and Compliance matters
d.The required Bank internal and external communication on related matters is handled with due care.

Job Description

The Secretary to the Board will have the following specific duties and responsibilities:

I.Administrative duties Organisation of the BoS and BoM meetings :

1. The Secretary to the Board provides the BoS and BoM with notices of meeting times and places and requests contributions of items for the agenda.
2. He/She, in consultation with the CEO, prepares agendas for the BoM meeting. These agendas, along with any supporting documentation, are distributed by the Secretary to Attendees in advance of the meetings.
3. He/She maintains the list of pending action items / open issues list for the BoS and BoM Members for discussion in respective meetings.
4. He/She prepares minutes of the meetings of the BoM, BoS and relevant Committees, distributes these to all Stakeholders, within prescribed time period, and as per distribution list of the Bank.
5. He/She maintains complete record of minutes of all official meetings of the Senior Management in the Bank.
6. He/She communicates the decisions made by the BoS, BoM and relevant Committees to concerned Stakeholders.
7. He/She compiles and periodically updates the folders for the BoS and BoM meetings, containing all necessary documents enabling the Members to effectively carry out their duties.
Administrative support to the BoS and BoM Members
8. The Secretary to the Board provides administrative support to the BoS and BoM Members in connection to their roles as Directors.
9. He/She supports the BoS Chairman in all aspects of his job.
10. He/She ensures timely delivery of the necessary documents for all BoS and BoM metings along with travel arrangements for the Members.
11. He/She makes all necessary reservations and organization of premises, technical facilities for the BoS and BoM meetings, and any other meetings, in consultation with the BoS Chairman and CEO.

Administrative support to the CEO:

12. The Secretary to the Board supports the CEO in all aspects of his job.
13. All formal communications between the CEO and rest of the functionaries (both internal and external) including appointment of meetings with CEO are carried out through the Secretary.
II. Corporate Governance and Compliance Duties
Maintenance of the Bank’s internal documentation
14. The Secretary to the Board compiles and maintains the Bank official files (Articles of Incorporation, Regulations, Share register, minutes, monthly reports and Annual Report, etc.).
15. He/She maintains the register and access to the policies of various Departments / Units of the Bank, and ensures their annual review as required by Da Afghanistan Bank.
16. He/She ensures communication on the required internal documents to relevant Stakeholders, and maintains complete and up to date documents in the shared folders.
Communication on Corporate Governance and Compliance matters
17. The Secretary to the Board assists in the design and content of the Annual Report of the Bank, particularly in the areas on Corporate Governance and Compliance.
18. He/She informs the BoS and BoM Members on any changes in legislation or law, as necessary and helpful for the Board’s ability to exercise their duties.
19. He/She ensures that the CEO is well informed of the Bank BoS and BoM Members, and any other appointed Bank Officers whose term in office is coming to an end to ensure that the process of search for replacement and regulatory approvals is started well on time.
20. He/She maintains a complete record of correspondence of the Bank with Da Afghanistan Bank vis a vis issues pertaining to CEO’s office. He/ She maintains the record of meetings of the CEO with Da Afghanistan Bank officials.

Desired Candidate Profile

Key qualifications and skills

1.Knowledge of Corporate Governance and Compliance standards, including those pertaining to Afghanistan.
2.Master degree in Economics/Commerce/MBA
3.At least three years’ experience at the same position in a Bank / reputable organization.
4.Integrity, loyalty, and discrete personality.
5.Team work and service orientation.
6.Self-motivated and self-starter / initiative.
7.High degree of availability.
8.Experienced with minute taking and office management.
9.Proficiency in both verbal and written English.
10.Proficiency in MS Office (Word, Powerpoint, Excel).
11.Ability to deal with the necessary technical equipment (laptops, projector, etc.)
