Job Description

The Corporate Legal Counsel is a pivotal position within an organization, responsible for managing a diverse portfolio of legal matters impacting the company. This role primarily focuses on providing legal guidance and support on corporate governance, compliance, contracts, mergers and acquisitions, and intellectual property issues. The successful candidate will have a strong ability to foresee legal challenges and work proactively to mitigate risks. Moreover, this position requires excellent negotiation skills and the ability to communicate complex legal concepts to stakeholders across the organization. The Corporate Legal Counsel must keep abreast of legal developments and ensure that the company adheres to all applicable laws and regulations, maintaining high ethical standards.


Responsibilities
  • Provide comprehensive legal support and guidance on corporate governance issues and policies.
  • Draft, review, and negotiate a wide variety of contracts and legal documents.
  • Develop and implement company's compliance policies and ensure adherence to applicable regulations.
  • Advise senior management on legal risks and develop strategies to mitigate these risks effectively.
  • Oversee potential mergers, acquisitions, and other corporate transactions legally and strategically.
  • Manage and coordinate with external legal advisors and experts on complex legal issues.
  • Conduct risk assessments and provide solutions to minimize the company s legal liabilities.
  • Defend the company in legal proceedings and represent it in negotiations and court cases when necessary.
  • Stay informed of legal developments affecting the business and provide regular updates to management.
  • Collaborate with internal departments to ensure compliance with legal and regulatory obligations.
  • Advise on intellectual property matters and protect the company s intellectual assets.
  • Provide training sessions to employees on legal topics and compliance requirements.

Requirements
  • Juris Doctor (JD) degree from an accredited law school is mandatory.
  • A minimum of 5 years of experience practicing corporate law in a law firm or in-house setting.
  • Licensed to practice law and in good standing in the relevant jurisdiction.
  • Proven experience in contract negotiation, corporate governance, and compliance matters.
  • Strong analytical skills and ability to address complex legal issues effectively.
  • Excellent communication and presentation skills aimed at diverse stakeholders.
  • Ability to work under pressure and manage multiple tasks within deadlines.
