Job Description

Roles & Responsibilities

Key Responsibilities:

  • Ensure company compliance with all applicable laws, regulations, shareholder directives, and governance frameworks. Provide legal interpretation of OIA policies, APSR regulations, and other statutory requirements.
  • Provide legal counsel to the CEO, Board of Directors, and executive team on strategic initiatives, contracts, mergers, divestments, IPO readiness, and shareholder relations. Draft, review, and negotiate high-value contracts and agreements.
  • Lead the legal risk management framework, including identification, assessment, and mitigation of legal, regulatory, and contractual risks. Embed legal risk assessments in corporate strategy and business planning processes.
  • Oversee and manage corporate litigation, arbitration, and dispute resolution processes. Engage and supervise external counsel, ensuring cost-effective and outcome-driven representation.
  • Develop and maintain internal policies, guidelines, and templates for legal and regulatory compliance. Ensure robust governance mechanisms in contracts, procurement, HR, and operational matters
  • Provide legal guidance for corporate transactions including mergers, acquisitions, joint ventures, and IPO-related processes. Ensure legal due diligence and compliance with securities laws and shareholder mandates.
  • Represent the company in high-level negotiations with regulators, government agencies, shareholders, and external stakeholders to safeguard company s legal and strategic interests.
  • Develop internal awareness and training programs for executives and employees to ensure compliance with legal and ethical standards. Cascade legal knowledge and promote a compliance culture across the organization.
  • Ensure development and monitoring of the annual budget for NEDC legal activities, optimizing resource allocation and actively mitigating and minimizing exposure to legal penalties and liabilities.
  • Lead, coach, and counsel the Legal team to enhance professional capability and develop a strong pipeline of future leaders within the function.
  • Manage and oversee external law firms supporting NEDC, ensuring effective performance, value for money, and maximized outcomes under their contractual engagements.
  • Ensure strategic documentation and communications comply with IT security policies and ISO standards.
  • Promote and integrate IT security and HSE considerations during strategy planning and execution oversight.
  • Report any identified HSE non-compliance risks during monitoring processes.

Desired Candidate Profile

Minimum Qualifications:

  • Bachelor s degree in Law (LLB) from an accredited institution.
  • Master of Laws (LLM) and/or international certifications in Corporate/Commercial Law are a plus.
  • Admission to practice law in Oman or another recognized jurisdiction.

Professional Experience:

  • Minimum of 11+ years of progressive legal experience.
  • Strong track record in corporate/commercial law, regulatory compliance, and governance.
  • Experience in energy/utilities or heavily regulated industries preferred.
  • Proven expertise in managing complex corporate transactions, disputes, and stakeholder negotiations.
  • A minimum of 2 years of experience in a leadership position.
