Roles & Responsibilities

Lead and integrate the company s governance, compliance, and legal frameworksensuring adherence to applicable laws and regulations, robust risk management, and alignment with OIA policies, while advising senior leadership and strengthening transparency and accountability company wide.

Strategic Responsibilities

  • Develop and implement strategies integrating governance, compliance, and legal objectives with organizational goals.
  • Establish and maintain governance frameworks, compliance protocols, and legal risk registers to safeguard the organization.
  • Provide guidance on regulatory compliance and legal implications to senior leadership.
  • Maintain updated knowledge of applicable laws and governance standards, ensuring timely dissemination across the organization.
  • Drive alignment of Governance and Legal Strategies with Organizational Goals, emphasizing a high-level approach to policy and process oversight

Governance and Compliance

1. Framework Development and Implementation

  • Design, implement, and maintain governance structures that ensure transparency, accountability, and ethical operations across the organization.
  • Establish policies and procedures aligned with international standards and local regulations, ensuring integration into operational workflows.

2. Regulatory Compliance Monitoring

  • Lead compliance audits to assess adherence to governance frameworks, implementing corrective actions when necessary.
  • Develop proactive compliance monitoring tools, ensuring timely submissions to regulatory bodies.

3. Stakeholder Engagement

  • Act as the key liaison with regulatory bodies, ensuring productive relationships and representing the organization in compliance-related discussions.
  • Provide training and workshops for employees to enhance awareness and understanding of governance and compliance responsibilities.

4. Reporting and Documentation

  • Develop comprehensive reporting tools and templates to standardize compliance and governance submissions.
  • Maintain a governance and compliance dashboard to track real-time performance and flag potential issues proactively.

Legal Affairs

1. Litigation Management

  • Oversee all legal disputes, ensuring proper representation of the organization in courts, arbitration, or mediation forums.
  • Coordinate with external legal counsel, monitoring performance, and ensuring cost-effective legal services.
  • Develop strategies for dispute resolution to minimize legal exposure and financial impact.

2. Contract, Agreement and Internal Documents Review

  • Draft, review, and negotiate contracts, agreements, and other legal documents, ensuring they are legally sound and protect organizational interests.
  • Implement a contract management system to streamline the tracking of obligations, renewals, and compliance with terms.

3. Risk Management and Legal Advisory

  • Maintain a legal risk register, regularly updating management on potential exposures and mitigation strategies.
  • Provide expert legal opinions and advice on transactions, policies, and strategic decisions.
  • Advise the organization on emerging legal trends and regulatory changes, ensuring proactive adjustments to policies and processes.

4. Knowledge Management and Training

  • Maintain a repository of legal precedents, regulations, and compliance requirements to serve as a reference for decision-making.
  • Conduct training sessions for employees to enhance understanding of legal obligations and risks.

5. Engagement with Authorities and Shareholders

  • Represent the organization in discussions with government entities, legal authorities, and other stakeholders on significant matters.
  • Align with shareholders and key stakeholders on legal and compliance strategies, ensuring alignment with organizational objectives.

6. Performance Monitoring and Reporting

  • Prepare periodic reports for the Board of Directors and senior management, summarizing legal, compliance, and governance activities.
  • Ensure accurate documentation of all legal proceedings, contracts, and compliance measures to maintain a transparent audit trail.

Operational and Managerial Responsibilities

  • Align department strategies and resources with organizational business plans and budgets.
  • Supervise and develop direct reports, fostering a high-performance culture.
  • Ensure timely preparation and accuracy of governance, compliance, and legal reports.
  • Lead or participate in investigations into regulatory or governance violations and recommend corrective measures.

QHSE & ISMS:

  • Compliance to QHSE procedures and familiarity with HS Risk, Environment Aspect Impact & Legal Registers.
  • Comply with Information Security Management Systems Requirements and Maintain Confidentiality and Privacy of Information.

Desired Candidate Profile

Bachelor s or Master s degree in in Law, or a related field with 9 years of experience in governance, compliance, or legal roles.

Experience in corporate, or regulated industries, such as utilities, is preferred.
