Job Description

Roles & Responsibilities

Duties and Responsibilities:

  • Develop corporate governance policies and procedures and ensure their effective implementation.
  • Monitor compliance with sound governance principles and transparency standards.
  • Review and develop organizational structures to ensure alignment with best practices.
  • Prepare periodic reports for senior management on the implementation of governance principles, including any challenges or required improvements.
  • Organize meetings of relevant committees, such as the Audit Committee and Governance Committee, and prepare the required reports.
  • Identify and assess potential risks that may impact the organization s performance.
  • Develop risk mitigation plans and procedures and monitor their implementation.
  • Prepare periodic risk status reports and submit them to senior management or the Risk Committee.
  • Monitor internal and external changes that may affect the organization s risk level.
  • Promote a risk management culture by training employees to manage risks effectively.
  • Ensure the organization s compliance with relevant local and international laws and regulations.
  • Develop and implement internal audit plans to review compliance with regulations and policies.
  • Monitor updates to laws and regulations and inform the relevant departments of required changes.
  • Prepare periodic compliance status reports, including any potential breaches and corrective action plans.
  • Organize training sessions and awareness workshops for employees on laws and internal policies.
  • Act as a liaison between different departments to ensure coordination in implementing governance, risk management, and compliance policies.
  • Provide advice to senior management on matters related to governance, risk, and compliance.
  • Support internal and external audits by providing the required data and reports.
  • Update governance, risk, and compliance policies periodically to ensure alignment with best practices.
  • Develop monitoring systems to ensure compliance and transparency across all operations.
  • Perform any other tasks assigned by senior management or committees within the scope of the role s responsibilities.
