Junior Associate - International Corporate and Commercial Trowers & Hamlins LLP

The opportunity

We have an exciting opportunity to join Trowers & Hamlins' international corporate and commercial practice in our Saudi Arabia office. Our team provides strategic legal advice on corporate and commercial matters, mergers and acquisitions, private equity, joint ventures, regulatory compliance, and technology law, supporting both local and international clients in navigating Saudi Arabia's evolving legal landscape.

We are seeking a Saudi qualified junior lawyer to support corporate, commercial and regulatory matters, with a strong focus on company formation, structuring, governance and corporate secretarial work within Saudi Arabia. In this role, the distribution of work will be 40% Corporate & Commercial, 50% Regulatory & Corporate Secretarial and 10% Government Liaison.

What you'll be doing

Corporate & Commercial

• Advise on the Saudi Companies Law and related regulations.
• Handle company (Saudi and foreign) formation, restructuring, and liquidation processes.
• Setting up NGOs.
• Advise on foreign investment and regulatory requirements.
• Draft and review:
• Shareholders' agreements and joint venture agreements (Saudi focus specific),
• Agency and franchise agreements (including registrations).
• Advise on corporate governance, including:
• Board composition, quorum and meetings,
• Directors' duties and governance frameworks.
• Corporate structuring/restructuring advise on optimal corporate structures under the Saudi Companies Law, taking into account regulatory, ownership and operational requirements.

Regulatory & Corporate Secretarial

Manage filings and compliance with:

• Ministry of Investment (MISA)
• Saudi Business Center
• Ministry of Commerce
• The Saudi Arabian Competition Authority
• Monsahart (The Small and Medium Enterprises General Authority)
• Saudi Authority for Intellectual Property
• Oversee corporate secretarial functions and ongoing compliance.
• Intellectual Property & Commercial Support:
• Handle intellectual property registrations
• Provide general commercial legal support

Government Liaison

• Liaise with government authorities to process applications and approvals.
• Attend ministries and regulatory bodies to complete official procedures.
