Job Description
Roles & Responsibilities
A. Legal Leadership and Stakeholder Management
- Act as the day-to-day lead for operational legal matters, under the direction of the General Manager - Legal.
- Serve as primary legal counterpart for Division Heads, Business Development, Project Managers, Finance, HR, Procurement and Treasury on contract and corporate legal issues (pre-signing and transactions).
- Allocate and supervise work of in-house lawyers/contract specialists for pre-signing contract reviews, negotiations and legal opinions.
- Build strong relationships with business teams, providing timely and practical legal support.
B. Pre-Signing Contract Management (Front-End Legal Support)
- Lead but not limited to drafting, review and negotiation of:
- Industrial services / shutdown and turnaround contracts.
- Construction and modular building contracts.
- Equipment rental and facility management/catering contracts.
- Waste management and site services contracts.
- Subcontracts, back-to-back agreements, framework MSAs and NDAs.
- MoUs, teaming and workshare agreements, consortium agreements, agency and service agreements, JV/partnership documents as required.
- Ensure contract terms are aligned with:
- Saudi law and applicable regulations.
- The Company’s bylaws, Board-approved authorities and policies.
- Risk appetite, red-lines and standard protections defined by management and, where relevant, by GRC frameworks.
- Review and clear contract provisions linked to bank guarantees, performance bonds, SBLCs, promissory notes, assignment of receivables and other security arrangements, in coordination with Finance/Treasury.
C. Corporate and Transactional Legal Support
- Support the General Manager - Legal in drafting and reviewing:
- Shareholder and joint venture agreements, share purchase agreements and other transaction documents.
- Corporate approvals and legal documentation for incorporations, restructurings, acquisitions, divestments and capital changes.
- Provide legal input on entity structuring and corporate actions as required by GM Legal.
D. Banking, Finance and Securities Documentation
- Review and negotiate legal aspects of:
- Loan agreements and amendments.
- Security documents (guarantees, pledges, assignments, covenants).
- Intercompany loans and support arrangements.
- Ensure legal consistency between banking documentation and commercial contracts (e.g. assignment of receivables, financial covenants, negative pledge), in coordination with Finance/Treasury.
- Oversee legal checks on promissory notes and related instruments as per the Company’s Promissory Note Compliance Checklist (operational follow-up may sit with Finance/GRC).
E. External Counsel and Litigation Support
- Assist GM Legal in selecting and managing external counsel for litigation, arbitration and specialized matters.
- Coordinate instructions, scope and fee arrangements; review drafts of pleadings, opinions and settlement proposals.
- Provide internal legal views on risk, options and settlement strategies in material cases, under the direction of GM Legal.
F. Legal Policies, Templates and Training
- Maintain and continuously improve legal contract templates, clause libraries and pre-signing legal review checklists for key segments and contract types.
- Ensure legal templates reflect the Company’s risk parameters and standard protections agreed with management.
- Deliver training to Project Managers, BD/Commercial, Procurement and other teams on:
- Key legal concepts and high-risk clauses.
- Legal implications of notices, variations, LDs, back-charges and termination.
- Governing law and dispute resolution options (without duplicating GRC risk/compliance training content).
G. People Management and Development
- Supervise and mentor legal team members (lawyers, contract specialists), including work allocation, coaching and performance feedback.
- Support capability building and succession planning within the Legal Department, particularly in front-end contract and corporate/commercial work.
Desired Candidate Profile
- Bachelor’s degree in Law (LLB or equivalent) from a recognized university (Saudi or foreign).
- Admission to practice law in Saudi Arabia or another reputable jurisdiction is highly desirable.
- Postgraduate qualification in Commercial/Corporate Law or Business (e.g. LLM, MBA) is an advantage.
