Job Description
Roles & Responsibilities
Act as the trusted legal advisor to the GCEO, Board, and senior leadership on complex legal, regulatory, and governance issues.
Interpret and advise on existing and new legislation affecting ITHCA Group, subsidiaries and oversee implementation of required changes.
Develop and implement policies and procedures on legal matters (e.g., litigation, claims, disputes, compliance, customer complaints).
Monitor and support the handling of divisional risks, ensuring alignment with corporate governance and compliance standards.
Draft, review, and approve contracts, agreements, and legal documentation to ensure strict compliance with statutory and regulatory requirements.
Lead and manage the resolution of disputes and litigation; liaise with external lawyers and represent the Group and its subsidiaries in court where necessary.
Investigate complex claims, providing both proactive and reactive legal advice to mitigate risks.
Manage registration and protection of intellectual property rights (trademarks, patents, copyrights) for ITHCA and its subsidies.
Work closely with HR on employee-related disputes, ensuring fair and legally sound resolution.
Support HR in developing, reviewing, and maintaining employment contracts and HR-related policies and guidelines.
Act as the point of contact for all Board-related matters, supporting the Group CEO and Board committees when it is necessary.
Convene and service Board, sub-committee, subsidiary, and AGM meetings, including preparing agendas, taking minutes, conveying decisions, and ensuring follow-up.
Support the Group CEO in preparing legal sections of Board presentations and drafting GCEO communications to internal and external parties in cooperation with Group CEO Office.
Ensure timely and efficient follow-up of Board instructions and progress updates on matters arising.
Develop and manage the Legal Affairs division budget, monitor expenditures and providing variance justifications.
Lead, coach, and manage the performance of the Legal Affairs team in line with best people management practices.
Promote a culture of Health, Safety, and Environment (HSE), ensuring all activities comply with Quality, Health, Safety, and Environmental standards.
Ensure Service Level Agreements (SLAs) are met, and client satisfaction is monitored, developing new tools where needed.
Act as the key interface with government bodies, ensuring compliance with industry regulations and representing ITHCA Group & subsidiaries interests.
Select and manage relations with external legal advisors to secure specialized perspectives and high quality legal services.
Oversee the database of all major contracts, ensuring protection, confidentiality, and integrity of records.
Build and sustain business opportunities in alignment with ITHCA s business plan and strategy.
Desired Candidate Profile
Bachelor s degree in law (LLB) / master s in law (LLM) especially in Corporate/Commercial Law, International Business Law, or ICT/Technology Law.
ICT industry experiences beneficial.
Several years experience in Legal Affairs or related field preferred.
(10-15) years of progressive post-qualification legal experience with a reputable law firm or in-house legal department.
Solid expertise in corporate and commercial law; experience in employment, regulatory, and compliance matters is advantageous.
Experience with cross-border transactions and multinational legal environments preferred.
