Job requirements

  • At least 6 years of solid relevant experience as a Corporate Lawyer. (Ideally within private practice).
  • Proficiency of legal drafting in both English & Arabic is a must.
  • Valid enrolment with the Egyptian Bar Association (at least before Courts of First Instance).
  • Comprehensive knowledge of corporate law and procedures.
  • Pro-active planning and coordination skills with positive behavior.
  • Flexibility and ability to manage priorities and adapt to changes.
  • Capability to move easily between big picture and managing relevant details.
  • Leadership and teamworking skills.
  • Excellent communication & interpersonal skills.
  • Microsoft office, reporting and presenting skills.

Job Description:

  • Advising on corporate law and processes.
  • Guiding and counseling clients on a broad range of legal and regulatory matters as well as corporate governance requirements to ensure compliance with laws & regulations.
  • Advising on Corporate Secretary procedures and producing related documents (such as AOA, minutes of OGM, EGM, BOD etc.)
  • Conducting legal researches on all corporate -related legal matters.
  • Determining permits/licenses and/or regulatory requests needed for business formation and operations.
  • Performing statutory registration and incorporation and representing corporate clients before all related governmental authorities and regulatory committees (e.g., GAFI, FRA, EGX et. .).
  • Conducting DD for M&A transactions including the production of DD reports, DD Checklists and documentations.
  • Drafting, reviewing, negotiating and executing all types of contracts and legally-binding complex arrangements.
  • Keeping up with laws updates & regulatory developments ensuring effective tracking.
  • Get easily ahead with stakeholder demands and explore/design possible solutions.
  • Prepare, files, and deliver a variety of corporate dispute related legal documents including affidavits, petitions and pleadings.
  • Conducting professional legal translation (Arabic English).
