Corporate Legal Affairs & Governance

• Lead and oversee all legal, governance, compliance, and regulatory matters across the Group.

• Advise the Board of Directors and Executive Management on legal strategy, risk mitigation, governance, and regulatory compliance.

• Develop and implement corporate governance frameworks, legal policies, and compliance structures.

• Ensure business operations remain aligned with UAE laws, Dubai regulations, and international legal standards.

Shareholder Matters & Corporate Structuring

• Draft, review, and negotiate Shareholder Agreements, Joint Venture Agreements, Board Resolutions, MOAs, AOAs, Share Purchase Agreements, and Partnership Agreements.

• Manage corporate restructuring, mergers and acquisitions, equity transfers, beneficial ownership structures, and shareholder matters.

• Establish governance frameworks protecting shareholder rights and corporate interests.

Company Formation & Regulatory Affairs

• Lead company incorporation, restructuring, liquidation, and expansion projects across UAE Mainland, Free Zones, DMCC, DIFC, and ADGM.

• Manage licensing, regulatory approvals, trade licenses, and corporate amendments.

• Liaise with government authorities, ministries, regulators, and free zone authorities.

Commercial Contracts & Documentation

• Draft, negotiate, and manage:

  • Commodity Trading Agreements

  • Manufacturing Contracts

  • EPC / EPCM Agreements

  • FIDIC Contracts

  • Supply Chain & Logistics Agreements

  • Distribution & Agency Agreements

  • Banking & Finance Documentation

  • Real Estate Agreements

  • Lease Agreements

  • Investment & Joint Venture Agreements

  • NDAs and Settlement Agreements

Litigation, Arbitration & Dispute Resolution

• Manage complex commercial, banking, construction, shareholder, and real estate disputes.

• Lead legal strategy for arbitration, mediation, and litigation matters.

• Coordinate with external counsel before UAE Courts, Dubai Courts, DIAC, DIFC Arbitration, and other dispute resolution forums.

Banking, Trade Finance & Financial Laws

• Advise on:

  • Letters of Credit (LCs)

  • Standby LCs (SBLCs)

  • Bank Guarantees (BGs)

  • Facility Agreements

  • Security Documentation

  • Structured Finance Transactions

  • Islamic Finance Structures

• Negotiate legal documentation with banks, lenders, and financial institutions.

Real Estate, Construction & FIDIC Law

• Handle property acquisitions, disposals, leasing, development agreements, and financing transactions.

• Advise on FIDIC contracts, EPC projects, contractor agreements, claims management, delay claims, and construction disputes.

Compliance & Risk Management

• Ensure compliance with:

  • UAE Corporate Laws

  • AML Regulations

  • UBO Regulations

  • Corporate Tax Regulations

  • VAT Frameworks

  • ESR Requirements

• Conduct legal due diligence, compliance audits, risk assessments, and internal investigations.
