Roles & Responsibilities

Job Summary:

The Senior Specialist Board Affairs plays a critical role in ensuring the effective governance and operational efficiency of the Board of Directors. This role is responsible for coordinating all Board-related activities, ensuring timely execution of resolutions, maintaining governance documentation, and facilitating seamless communication between Board members and internal stakeholders. The position demands a high level of discretion, attention to detail, and the ability to manage multiple priorities in a fast-paced environment.

Job Responsibilities:
  • Board Meeting Coordination:
    Plan, organize, and execute all logistical and administrative aspects of Board and Committee meetings, including scheduling, venue setup, equipment readiness, travel and accommodation arrangements, and hospitality services.

  • Agenda and Documentation Management:
    Prepare, review, and distribute Board materials such as meeting agendas, briefing packs, and supporting documents, ensuring accuracy, completeness, and timely delivery in alignment with Board governance timelines.

  • Meeting Facilitation and Follow-up:
    Ensure efficient execution of meetings by managing attendance confirmations, distributing materials, taking accurate minutes, and monitoring the implementation of action items and resolutions post-meeting.

  • Governance Compliance:
    Maintain and update Board records, charters, policies, and procedures to ensure full compliance with internal governance standards and external regulatory requirements.

  • Stakeholder Engagement:
    Serve as the key liaison between Board members and internal departments, fostering effective communication and collaboration to support strategic alignment and operational continuity.

  • Performance Tracking and Reporting:
    Monitor the progress of Board decisions, prepare status reports, highlight potential risks or delays, and escalate non-compliance or unresolved issues to the Manager, Special Projects as necessary.

  • Strategic Calendar Management:
    Develop and maintain a forward-looking Board calendar in coordination with internal functions, aligning Board sessions with strategic business milestones and regulatory deadlines.

  • Presentation and Content Support:
    Coordinate the creation and editing of high-level Board presentations, business cases, and executive summaries, ensuring clarity, consistency, and alignment with corporate objectives.

  • Administrative Excellence:
    Provide comprehensive administrative support to the Board Office, including handling confidential correspondence, coordinating executive schedules, and supporting board-related workflows.

  • Relationship Management:
    Build and sustain trusted relationships with Board members by delivering responsive support, addressing inquiries professionally, and ensuring an exceptional experience in all Board interactions.

  • Ad-hoc Support and Special Assignments:
    Undertake additional responsibilities or special projects as assigned by the Manager, Special Projects or senior leadership to support corporate governance and strategic initiatives.

    Qualifications and Experience:
  • Bachelor s degree in Business Administration, Public Administration, Governance, or a related field.

  • Minimum of 5 years of relevant experience in Board Affairs, Executive Office Management, Governance, or Corporate Administration.

  • Experience working with high-level executives, Board members, and cross-functional teams.
