Head of Legal

Job Description:
The Head of Legal at Aria Holding is responsible for overseeing all legal aspects of the company’s
operations, ensuring compliance with relevant laws and regulations, and managing legal risks across the organization.
This role involves providing strategic legal advice to the executive leadership team, managing legal disputes, and overseeing the company’s contractual obligations. The Head of Legal will lead a team of legal professionals and work closely with external counsel to protect the interests of Aria Holding and its subsidiaries across diverse industries, including manufacturing, engineering, technology, business services, and trading.
Key Responsibilities:
Legal Strategy and Advisory:
• Develop and implement the company’s legal strategy, aligning it with Aria Holding’s overall business objectives.
• Provide strategic legal advice to the CEO, Board of Directors, and senior management on a wide range of legal matters, including corporate governance, regulatory compliance, and risk management.
• Advise on the legal aspects of business transactions, including mergers and acquisitions, joint ventures, partnerships, and other strategic alliances.
Regulatory Compliance:
•Ensure that Aria Holding and its subsidiaries comply with all relevant laws, regulations, and industry standards.
• Oversee the development and implementation of compliance programs, policies, and procedures to minimize legal risks and prevent violations.
• Monitor changes in laws and regulations that could impact the company’s operations and advise on necessary adjustments to business practices.
Contract Management:
• Oversee the drafting, negotiation, and review of all contracts, agreements, and legal documents to ensure that the company’s interests are protected.
• Establish and maintain contract management processes that ensure timely execution and compliance with contractual obligations.
• Manage the resolution of contractual disputes, including overseeing litigation, arbitration, and settlement negotiations.
Litigation and Dispute Resolution:
• Manage all legal disputes and litigation involving Aria Holding, working closely with external counsel to develop and execute effective legal strategies.
• Oversee the investigation and resolution of legal claims, ensuring that the company’s interests are defended and that settlements are achieved in a cost-effective manner.
• Provide guidance on risk mitigation strategies to minimize the likelihood of future disputes.
Corporate Governance:
• Ensure that Aria Holding adheres to best practices in corporate governance, including compliance with applicable corporate laws, regulations, and governance frameworks.
• Oversee the preparation and maintenance of corporate records, including minutes of Board meetings, resolutions, and other essential documents.
• Leadership and Team Management:
• Lead, mentor, and develop the legal team, ensuring that all team members have the necessary skills and resources to perform effectively.
• Foster a culture of excellence, accountability, and continuous improvement within the legal department.
• Coordinate with external legal counsel as needed, managing relationships and ensuring the delivery of high-quality legal services.
Desired Candidate Profile
• Bachelor’s degree in law (LLB) from a recognized institution; a master’s degree (LLM) or equivalent legal qualification is preferred.
• 15+ years of experience in legal roles, with at least 5 years in a senior leadership position, preferably within a multinational corporation or a large conglomerate.
• Strong knowledge of corporate law, contract law, regulatory compliance, and risk management.
• Proven track record in managing complex legal disputes, negotiations, and regulatory issues.
• Excellent leadership and team management skills, with experience in mentoring and developing legal professionals.
• Strong strategic thinking, problem-solving, and decision-making skills.
• Excellent communication and stakeholder management skills, with the ability to influence and advise senior leadership effectively.
