Role Overview
We are seeking a highly seasoned Independent Board Member to join the Board of Directors on a fixed-term basis.

The successful candidate will play a critical governance and advisory role, contributing independent judgment, strategic insight, and strong financial oversight. This position includes active participation in the Investment Committee and Audit Committee, supporting the Group’s long-term strategy, investment decisions, and governance framework.

This is a senior-level appointment suited for professionals with extensive experience advising diversified groups, investment portfolios, or complex organizations.

Key Responsibilities

Board & Governance

• Serve as an Independent Board Member providing objective oversight and strategic counsel.

• Support the Chairman and Board in shaping long-term corporate strategy.

• Uphold high standards of corporate governance, compliance, and risk management.

• Participate in Board deliberations and key policy decisions.

Investment Committee

• Evaluate new investment proposals across diversified sectors.

• Review feasibility studies, financial models, and risk assessments.

• Advise on investment returns, strategic alignment, and execution risks.

• Provide independent judgment on commercial viability.

Audit Committee

• Oversee financial reporting, audit processes, and internal controls.

• Review financial statements and audit findings.

• Ensure transparency, accountability, and robust financial governance.

Strategic Advisory

• Quickly assess diverse business models across the Group’s portfolio.

• Provide guidance on restructuring, growth strategies, and value-creation initiatives.

• Advise senior management on operational improvement and strategic risk mitigation.

• Support identification of long-term opportunities.
