Roles & Responsibilities

Job Title: Director of Investment Compliance & Legal Affairs

Location: Phnom Penh, Cambodia

Base Salary: US$8,000-$10,000 per month

Purpose Statement

A leading Cambodian master developer undertaking a mixed-use coastal development, seeking to ensure all inbound investments are structured, transacted, and monitored in full legal and regulatory compliance.

You will lead and own the legal and compliance framework for all overseas investment into the mixed-use coastal project, ensuring the swift and complete transfer of the investment, whilst protecting the companys interests by ensuring adherence to Cambodian and applicable international regulations.

Key Responsibilities

Regulatory Strategy & Oversight

Develop, implement and maintain compliance policies covering KYC/AML, FCPA, local licensing, ESG and reporting requirements.

Monitor evolving Cambodian and relevant APAC/EU regulatory regimes; advise senior leadership on impacts and mitigation.

Transaction Structuring & Documentation

Draft, review and negotiate investment agreements, joint-venture and shareholder arrangements, subscription and capital-call documents.

Advise on optimal legal structures (SPVs, fund vehicles, equity vs. debt) to balance tax, risk and governance.

Due Diligence & Risk Management

Lead investor due-diligence: coordinate KYC/AML reviews, background checks and credit assessments.

Identify, assess and report key legal/compliance risks; design controls and remediation plans.

Stakeholder Engagement

Serve as primary liaison with Cambodian regulators (SECC, CBRC) and, when needed, foreign authorities (MAS, SFC, SEC).

Coordinate with external counsel, auditors and tax advisors to manage complex cross-border matters.

Qualifications & Experience

Minimum 8-10 years experience in legal and compliance roles, with a track record in cross-border investment and real estate/infrastructure transactions.

Deep knowledge of international investment standards and fund structuring.

Proven ability to draft and negotiate complex commercial, JV and fund documentation.

Strong project-management skills; comfortable advising C-suite and Boards.
